These Terms & Conditions (“Terms”) govern your access to and use of the Chopgrub Merchant App (the “App”), provided by Chopgrub Logistics Limited (“Chopgrub”, “we”, “our”, or “us”). By signing up as a merchant on Chopgrub, you agree to these Terms.

1. Eligibility

• You must own, operate, or be authorized to represent a business that sells food, groceries, or related products.

• You agree to provide accurate and up-to-date business information, including registration details (where applicable), menus, prices, and bank account details for payouts.

• You are responsible for ensuring your business complies with all applicable laws, including food safety and health regulations.

2. Account & Security

• You are responsible for maintaining the confidentiality of your login credentials and wallet PIN.

• You may authorize staff to access your account, but you remain responsible for all activity carried out under your merchant account.

• Chopgrub reserves the right to suspend or terminate accounts that provide false, incomplete, or misleading information.

3. Use of the App

• Merchants may use the App to:

• List and update menus, categories, and product availability

• Accept or reject customer orders

• Track and manage payouts

• View sales performance and customer reviews

• You agree to keep your store availability status accurate (e.g., open/closed, in stock/out of stock).

4. Orders & Fulfilment

• Once you accept an order, you must prepare and hand it over for delivery or pickup within the agreed time.

• Merchants are solely responsible for the quality, safety, and packaging of all food and products sold.

• Failure to fulfill accepted orders may result in refunds, penalties, or account suspension.

5. Payments & Wallet

• Chopgrub collects payments from customers on your behalf and credits your Merchant Wallet.

• Payouts to your bank account are subject to:

• A processing fee (₦100 per payout, unless otherwise specified)

• Settlement timelines displayed in the App

• Wallet balances are not bank accounts and do not earn interest.

• Chopgrub may deduct commissions, service charges, or applicable taxes before payout.

6. Commissions & Fees

• You agree to pay Chopgrub a commission on each order placed through the App.

• Commission rates may be default platform rates or custom rates agreed in writing.

• Chopgrub reserves the right to revise commission structures with notice.

7. Cancellations & Refunds

• If you cannot fulfill an order, Chopgrub may refund the customer in full.

• Chopgrub may deduct the refunded amount and applicable penalties from your wallet balance.

• Repeated cancellations, excessive delays, or poor service may result in account suspension.

8. Merchant Obligations

By using the App, you agree to:

• Maintain valid business permits and comply with health & safety laws.

• Ensure fair and transparent pricing no hidden charges.

• Treat customers and delivery partners with respect.

• Avoid fraudulent activities (fake orders, duplicate accounts, price manipulation, etc.).

• Immediately notify Chopgrub of issues affecting your ability to fulfill orders.

9. Limitation of Liability

• Chopgrub is a technology platform, not the seller of goods.

• We are not liable for food preparation, safety, or customer satisfaction with your products.

• Chopgrub’s liability to you is limited to the amount of commission earned from the specific disputed order.

10. Privacy & Data

• By using the App, you agree to Chopgrub’s Privacy Policy, which explains how we collect, use, and share your data.

• Business and transaction data may be shared with regulators where required by law.

11. Termination

• Chopgrub may suspend or permanently terminate your merchant account if you:

• Breach these Terms

• Engage in fraud or illegal activities

• Consistently provide poor service or generate excessive complaints

• You may close your account at any time, provided all pending transactions are settled.

12. Governing Law & Disputes

• These Terms are governed by the laws of the Federal Republic of Nigeria.

• Disputes shall be resolved by arbitration in Abuja, under the Arbitration and Conciliation Act.

13. Amendments

• Chopgrub may update these Terms periodically.

• Merchants will be notified via the App or email. Continued use means acceptance of the updated Terms.

• Bank account details for payouts

• Device details (model, OS version, app version)

• Log data (IP address, access times, actions taken in the app)

• Transaction data (orders received, cancellations, refunds, payouts)

c. Information from Third Parties

• Payment providers (Paystack) may provide payout confirmations

• Regulatory authorities may provide compliance-related information

• Delivery companies/drivers may provide feedback about your order handling

2. How We Use Your Information

We use merchant data to:

• Verify your business identity and KYC compliance

• Enable order processing and payouts

• Display your store and menu to customers on the Chopgrub User App

• Communicate with you about orders, performance, and platform updates

• Resolve disputes with customers or drivers

• Comply with legal, financial, and regulatory obligations

3. Sharing of Information

We may share merchant information with:

• Customers: store details, menu, location, and ratings

• Delivery partners: store location and pickup details for orders

• Payment processors (Paystack): for secure payouts

• Regulatory bodies: where required by law (e.g., tax, food safety, financial compliance)

• Service providers: for hosting, analytics, and fraud prevention

We do not sell your business or personal information to third parties.

4. Data Retention

• We retain your business and transaction data for as long as you have an active merchant account.

• If you close your account, we may keep certain information for legal, financial, or dispute-resolution purposes.

5. Security of Information

• We use encryption, firewalls, and secure cloud storage to protect your information.

• Payout details and KYC data are handled securely.

• You are responsible for keeping your login credentials and wallet PIN safe.

6. Your Rights (Under NDPR)

As a merchant, you have the right to:

• Access your stored information

• Request corrections to inaccurate data

• Request deletion of data (subject to legal retention rules)

• Withdraw consent for certain data processing

• File a complaint with the Nigeria Data Protection Bureau (NDPB) if you believe your rights are violated

7. Children’s Privacy

The Merchant App is not intended for children under 18. We do not knowingly collect data from minors.

8. Updates to This Policy

We may update this Privacy Policy from time to time. We will notify merchants via the App or email. Continued use of the App after updates means you accept the revised policy.

Welcome to Chopgrub! By downloading, installing, or using the Chopgrub User App (the “App”), you agree to these Terms & Conditions (“Terms”). Please read carefully. If you do not agree, kindly do not use the App.

1. Eligibility

• You must be at least 18 years old or have parental consent to use the App.

• You agree to provide accurate account details and keep them updated.

2. Account & Security

• You are responsible for keeping your login credentials and wallet PIN confidential.

• Any activity carried out through your account will be treated as authorized by you.

• Notify Chopgrub immediately if you suspect unauthorized use.

3. Use of the App

• The App allows you to browse, order, and pay for meals, groceries, and related services from merchants listed on Chopgrub.

• You agree not to misuse the App, including fraudulent activities, creating multiple fake accounts, or exploiting promotions.

• Chopgrub may suspend or terminate accounts that violate these Terms.

4. Orders & Payments

• Placing an order through the App constitutes an offer to purchase.

• Orders are confirmed only when the merchant accepts them.

• All prices are displayed in Nigerian Naira (₦) and may include service or delivery fees.

• Payments are processed via Paystack and the in-app Chopgrub Wallet.

• Chopgrub may hold payments in escrow until the order is successfully delivered.

5. Cancellations & Refunds

• If the merchant cannot fulfill your order, Chopgrub will process a refund to your wallet balance.

6. Wallet Terms

• The App includes an in-app wallet as alternative payment option.

• Wallet balances are not bank deposits and do not earn interest.

• You may top-up your wallet using supported payment methods.

• Refunds and promotional credits may also be credited to your wallet.

• Withdrawals are not enabled.

7. Delivery

• Estimated delivery times are provided for convenience but are not guaranteed.

• Chopgrub is not responsible for delays caused by traffic, weather, or merchant preparation time.

• You must be available at the delivery address to receive your order.

8. Liability

• Chopgrub is a technology platform that connects customers with merchants and drivers. Deliveries are fulfilled by independent partners.

• We are not the seller or preparer of the food and are not liable for food quality, safety, or merchant delays.

• To the maximum extent permitted by law, Chopgrub is not liable for indirect or incidental damages arising from your use of the App.

9. Privacy & Data

• By using the App, you agree to the collection and use of your personal data in line with our Privacy Policy.

• Data may include your contact details, delivery addresses, order history, and payment information.

10. Termination

• You may close your account at any time through the App.

• Chopgrub may suspend or terminate accounts for misuse, fraud, or violation of these Terms.

11. Governing Law

• These Terms are governed by the laws of the Federal Republic of Nigeria.

• Any disputes will be resolved under Nigerian law, with venue in Abuja, Nigeria.
